This Pilot Program Agreement ("Agreement") is entered into between the individual educator identified below ("Pilot Teacher" or "You") and SPU Stewardship Holdings LLC, a Delaware limited liability company, d/b/a S.T.E.W.A.R.D. Consulting ("Company," "We," or "S.T.E.W.A.R.D."), the developer and operator of the S.T.E.W.A.R.D. Tutor platform (the "Platform").
The purpose of this Agreement is to establish the terms under which You will receive complimentary access to the Platform's full Curriculum tier for a period of sixty (60) calendar days (the "Pilot Period"), in exchange for Your completion of defined engagement and advocacy milestones (the "Pilot Commitments") as described herein.
This Agreement becomes effective upon Your digital signature and successful completion of the enrollment process (the "Effective Date").
Upon execution of this Agreement, the Company grants You a non-exclusive, non-transferable, revocable license to access and use the Platform's Curriculum tier for the duration of the Pilot Period. This includes:
This access is provided at no cost during the Pilot Period. The estimated retail value of this access is between $570 and $2,940, depending on classroom size and subject selection.
In consideration of the access granted in Section 2, You agree to complete the following ten (10) milestones organized across four (4) phases within the Pilot Period. Milestones marked "REQUIRED" must be completed by their stated deadline. Milestones marked "OPTIONAL" are encouraged but not required for continued access.

The Pilot Period is divided into four (4) phases, each concluding with a "Gate Checkpoint" — a date by which the required milestones of that phase must be completed.

5.1 Testimonial License. By submitting a written testimonial pursuant to Milestone 9, You grant the Company a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute Your testimonial text, first name, role, and school name (collectively, "Testimonial Content") for marketing, advertising, and promotional purposes, including but not limited to the Platform website, social media accounts, sales materials, and investor presentations. You represent that the Testimonial Content is Your original work and does not infringe upon any third-party rights.
5.2 Social Media License. By submitting a social media post URL pursuant to Milestone 8, You grant the Company a non-exclusive license to reference, screenshot, and embed Your public social media post for promotional purposes. This license applies only to the specific post(s) submitted.
5.3 Survey Data. Survey responses submitted pursuant to Milestones 6 and 10 will be used in aggregate form for product improvement and may be referenced in anonymized, aggregate form in marketing materials. Individual survey responses will not be published without Your explicit written consent.
5.4 Withdrawal. You may request removal of Your Testimonial Content from the Platform's marketing materials by contacting [email protected]. Removal will be completed within thirty (30) business days, except from materials already printed or distributed prior to the request.
6.1 Teacher Data. Your name, email address, school affiliation, and social media handle will be used solely for pilot program administration, milestone tracking, and communications related to this Agreement. Your contact information will not be sold to or shared with third parties.
6.2 Student Data. Student data collected through the Platform during the Pilot Period is governed by the Platform's Privacy Policy and Terms of Service, which are incorporated herein by reference. In summary: the Platform collects only student first names, grade levels, and learning interactions. No student email addresses, phone numbers, or social media accounts are collected. Student data is never sold, shared with advertisers, or used to train AI models. The Platform complies with the Children's Online Privacy Protection Act (COPPA), the Family Educational Rights and Privacy Act (FERPA), and applicable state student data privacy laws.
6.3 COPPA Compliance. You acknowledge that parental consent may be required before students under the age of thirteen (13) use the Platform. You are responsible for obtaining such consent through the Platform's built-in parental consent workflow or Your school's established consent procedures.
6.4 Data Retention. Upon expiration of the Pilot Period, student learning data will be retained for ninety (90) days to facilitate potential conversion to a paid plan. After ninety (90) days, all student data associated with non-converted pilot accounts will be permanently deleted in accordance with the Platform's data retention policy.
7.1 Conversion Offer. Upon completion of at least eight (8) of ten (10) milestones (including at least three (3) of the four (4) required Phase 4 milestones), You will receive a personalized discount code providing twenty percent (20%) off Your first annual subscription to the Platform.
7.2 Code Redemption. Discount codes are single-use, non-transferable, and must be redeemed within sixty (60) days of the Pilot Period end date. Codes cannot be combined with other offers.
7.3 No Obligation. You are under no obligation to purchase a paid subscription after the Pilot Period. The Platform access granted under this Agreement will terminate automatically upon expiration of the Pilot Period, regardless of milestone completion status.
8.1 By You. You may withdraw from the Pilot Program at any time by contacting [email protected]. Upon withdrawal, Your access will be terminated within twenty-four (24) hours. Student data will be handled in accordance with Section 6.4.
8.2 By the Company. The Company reserves the right to terminate this Agreement for cause, including but not limited to: (a) submission of fraudulent, misleading, or AI-generated testimonial content; (b) creation of fake or duplicate student accounts to meet milestone requirements; (c) violation of the Platform's Terms of Service or Acceptable Use Policy; or (d) conduct that jeopardizes the safety, privacy, or wellbeing of students. Termination for cause will result in immediate revocation of access and forfeiture of any earned discount codes.
9.1 THE PLATFORM IS PROVIDED "AS IS" DURING THE PILOT PERIOD. THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 THE COMPANY IS NOT RESPONSIBLE FOR ACADEMIC OUTCOMES, ASSESSMENT SCORES, OR STUDENT PERFORMANCE ACHIEVED OR NOT ACHIEVED DURING THE PILOT PERIOD.
9.3 AI-GENERATED CONTENT, SCORES, AND FEEDBACK PROVIDED BY THE PLATFORM ARE ESTIMATES ONLY AND DO NOT CONSTITUTE OFFICIAL ASSESSMENT RESULTS. ALL AI OUTPUTS REQUIRE TEACHER REVIEW BEFORE BEING USED FOR GRADING, PLACEMENT, OR REPORTING PURPOSES.
9.4 IN NO EVENT SHALL THE COMPANY'S LIABILITY UNDER THIS AGREEMENT EXCEED THE RETAIL VALUE OF THE ACCESS GRANTED DURING THE PILOT PERIOD.
10.1 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the Pilot Program and supersedes all prior or contemporaneous communications.
10.2 Amendment. The Company may amend this Agreement with thirty (30) days' written notice. Continued participation after the notice period constitutes acceptance of the amended terms.
10.3 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles, as the Company is organized as a Delaware limited liability company. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in the State of Delaware, and the parties consent to the exclusive jurisdiction of such courts. Notwithstanding the foregoing, the Company acknowledges its obligation to comply with all applicable federal and state laws governing student data privacy, educational technology, and children's online privacy in the state where Your school or district is located, including but not limited to:
In the event of a conflict between Louisiana law and any applicable state student data privacy law, the more protective standard shall prevail with respect to student data handling.
10.4 Severability. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
10.5 Electronic Signature. You agree that Your electronic signature below has the same legal force and effect as a handwritten signature pursuant to the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. §7001 et seq.).
